By accessing, browsing, or using the SaludMedica website (hereinafter, "the Site"), including any content, functionality, and services offered on or through saludmedica.com, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (hereinafter, "the Terms"). If you do not agree with all of these Terms, you must not access or use the Site.

These Terms constitute a legally binding agreement between you (hereinafter, "the User") and SaludMedica (hereinafter, "we," "our," or "the Company"). Your use of the Site constitutes your unconditional consent to these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

If you are accessing the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and that such entity agrees to be responsible to us in the event of a breach.

SaludMedica is an online healthcare directory designed specifically for Puerto Rico. Our Site provides an information and listing service that allows users to search, discover, and access information about healthcare providers, medical professionals, clinics, laboratories, pharmacies, medical cannabis dispensaries, health insurance plans, and other health-related resources in Puerto Rico.

SaludMedica is NOT a healthcare provider and does NOT provide medical advice. The Site operates exclusively as an information and directory platform. The information published on the Site, including but not limited to provider profiles, informational articles, data about medical conditions and treatments, is provided solely for informational and general reference purposes.

Our services include, but are not limited to: healthcare provider listings with contact information, hours, and location; articles and educational content on health topics; information about health insurance plans in Puerto Rico; a directory of authorized medical cannabis dispensaries; provider search and filtering tools; and functionality for providers to claim and manage their listings.

We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice and without any liability to you or any third party.

Some features of the Site may require you to create a user account. By registering, you agree to:

• Provide accurate, current, and complete information during the registration process, and to keep such information up to date at all times.
• Maintain the confidentiality of your password and any access credentials associated with your account. You are solely responsible for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other security breach of which you become aware.
• Not create more than one personal account. Not create an account using another person's identity or provide false information.

We reserve the right to suspend or terminate your account at any time and for any reason, including, but not limited to, a violation of these Terms or any activity we deem harmful to the Site, other users, or third parties. Upon termination, your right to use the Site will cease immediately.

Healthcare provider accounts (owners and administrators) are subject to additional terms, including identity verification and the accuracy of listing information. Providers who claim a listing must demonstrate their legitimate relationship with the corresponding establishment or medical practice.

SaludMedica collects and publishes information about healthcare providers in Puerto Rico from publicly available sources, government records, information provided directly by providers, and other sources we consider reliable. However, we do not guarantee the accuracy, completeness, timeliness, or reliability of any listing information.

Information Disclaimer: Listing information, including operating hours, addresses, phone numbers, services offered, accepted health insurance plans, and other provider information, may be outdated, inaccurate, or incomplete. We strongly recommend that you verify all information directly with the provider before making any decisions based on information published on our Site.

No Endorsement: The inclusion of a provider in our directory does not constitute an endorsement, recommendation, or guarantee of the quality of services rendered by that provider. SaludMedica does not evaluate, certify, or guarantee the credentials, competence, quality of care, or outcomes of any listed provider.

Claim Process: If you are the owner or authorized representative of a healthcare establishment listed on our Site, you may request to claim that listing through our verification process. By claiming a listing, you commit to providing accurate information and keeping it up to date. We reserve the right to reject, suspend, or revoke any listing claim at our discretion.

All content on the Site, including, but not limited to, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (hereinafter, "the Content"), is the exclusive property of SaludMedica or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws in the United States, as well as under international treaties.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and its Content solely for personal and non-commercial purposes. This license does not permit you to:

• Reproduce, duplicate, copy, sell, resell, or commercially exploit any portion of the Content without our prior written consent.
• Modify, create derivative works from, or decompile any part of the Site or its Content.
• Remove or alter any copyright, trademark, or other proprietary notices appearing on the Content.
• Use the SaludMedica name, logo, or trademarks without express written authorization.

Content provided by users, including reviews, comments, and listing information provided by providers, remains the property of their respective authors. However, by submitting content to the Site, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any format and through any medium.

By using the Site, you agree not to engage in any of the following activities:

• Scraping and automated collection: Using robots, spiders, scrapers, or other automated means to access, collect, or extract data from the Site without our express written consent. This includes extracting provider contact information for mass marketing purposes or creating competing databases.
• Misuse of the platform: Using the Site for any illegal, fraudulent, or unauthorized purpose, including the publication of false, misleading, or defamatory information about healthcare providers or their services.
• Impersonation: Impersonating another person, entity, or healthcare provider, or falsely claiming an affiliation with any person or entity. This includes fraudulent claiming of provider listings.
• Interference with service: Attempting to interfere with, compromise the integrity or security of, or decipher any transmissions to or from the servers running the Site. This includes the introduction of viruses, Trojans, worms, logic bombs, or other malicious material.
• Circumvention of security measures: Attempting to bypass, disable, or otherwise interfere with security measures of the Site, including features that prevent or restrict the use or copying of Content.
• Spam and unsolicited communications: Using information obtained from the Site to send unsolicited commercial communications to providers or users.
• Harmful activity:Engaging in any activity that may damage, disable, overburden, or impair the functioning of the Site, or interfere with other users' use and enjoyment of the Site.

Violation of any of these prohibitions may result in the immediate termination of your account and access to the Site, as well as legal action as appropriate.

SaludMedica is NOT a healthcare provider, medical facility, health insurance plan, or healthcare organization. We do not provide medical advice, diagnoses, or treatments. No doctor-patient relationship exists between SaludMedica and users of the Site.

The information provided on the Site, including articles about medical conditions, treatments, medications, medical cannabis, and other health topics, is exclusively for informational and general reference purposes. This information is NOT intended to substitute for professional medical advice, diagnosis, or treatment.

THE SITE AND ALL ITS CONTENT, FUNCTIONALITY, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SALUDMEDICA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, SaludMedica does not warrant or represent that:

• The Site will be uninterrupted, timely, secure, or error-free.
• Provider listing information will be accurate, complete, or up to date.
• The results obtained from the use of the Site will be accurate or reliable.
• Any defects or errors in the Site will be corrected.

IN NO EVENT SHALL SALUDMEDICA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (C) ANY CONTENT OBTAINED FROM THE SITE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY MEDICAL OR HEALTH DECISIONS MADE BASED ON INFORMATION FROM THE SITE.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless SaludMedica, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use of the Site, including, but not limited to, any content you post, submit, or transmit through the Site.
• Your violation of the rights of any third party, including, but not limited to, intellectual property rights, privacy rights, or publicity rights.
• Fraudulent claiming or misuse of a provider listing.
• Any claim that your content caused harm to a third party.

This indemnification obligation will survive the termination of your account or your use of the Site. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

SaludMedica reserves the right to revise, update, or modify these Terms at any time and at its sole discretion. Modifications will take effect immediately upon posting on the Site. We will update the "Last updated" date at the top of these Terms to reflect the date of the most recent revision.

Your continued use of the Site after the posting of the revised Terms constitutes your acceptance of such changes. If you do not agree with the modified Terms, you must stop using the Site immediately.

For substantial changes that significantly affect your rights or obligations, we will endeavor to provide you with reasonable notice before such changes take effect. However, it is your responsibility to periodically review these Terms to stay informed of any updates.

The most current version of these Terms will always be available on the Site. In the event of a conflict between versions, the most recently posted version shall prevail.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and applicable federal laws of the United States of America, without giving effect to any provisions or rules regarding conflict of laws that could cause the application of the laws of any other jurisdiction. Salud Medica Inc. is a corporation organized under the laws of the State of Florida.

Any legal dispute, controversy, or claim arising out of or relating to these Terms, the Site, or your use thereof shall be resolved exclusively in the state or federal courts located in the State of Florida. You irrevocably consent to the personal and exclusive jurisdiction of such courts and waive any objection based on inconvenient forum or any other basis.

If any provision of these Terms is declared invalid, void, or unenforceable by any court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.

The failure of SaludMedica to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall only be effective if made in writing and signed by an authorized representative of SaludMedica.
